Terms of Service

1. Acceptance of Terms

By accessing or using Verflo (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms form a binding agreement between you and Verflo.

2. Description of the Service

Verflo is an SMS-based field task verification platform designed for construction, property management, and field services teams. The Service allows project managers and administrators ("PMs") to create tasks, assign them to field workers, communicate via SMS, collect photo verification of completed work, and maintain an auditable record of task status.

Field workers receive tasks via text message and reply using plain text commands (e.g., "DONE", "BLOCKED"). Field workers do not need to download an app or create an account to participate.

3. User Accounts and Responsibilities

To use the Service as a PM or administrator, you must create an account and provide accurate, current, and complete information. You are responsible for:

• Safeguarding your account credentials and all activity under your account.
• Ensuring all phone numbers and email addresses you submit are accurate and that the individuals associated with them have consented to receive SMS and email communications related to the Service.
• Complying with all applicable laws, including wage-and-hour, privacy, and telecommunications regulations in your jurisdiction.
• Paying all fees associated with your subscription.

4. Prohibited Uses

You agree not to use the Service to:

• Send unsolicited marketing messages, spam, or any communication that violates the TCPA, CAN-SPAM Act, or similar laws.
• Harass, intimidate, threaten, or discriminate against any person.
• Transmit content that is unlawful, defamatory, obscene, or infringes the rights of others.
• Attempt to access accounts or data you are not authorized to access.
• Interfere with, overload, or disrupt the Service, including reverse engineering, scraping, or introducing malware.
• Use the Service to collect or track personal information of individuals without their knowledge and consent.

5. No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VERFLO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SMS MESSAGES WILL BE DELIVERED SUCCESSFULLY OR ON TIME. SMS DELIVERY DEPENDS ON THIRD-PARTY CARRIERS AND IS OUTSIDE OUR CONTROL.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERFLO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. VERFLO'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO VERFLO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Termination

You may cancel your account at any time through your account settings. Verflo may suspend or terminate your access to the Service at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to other users, Verflo, or third parties. Upon termination, your right to use the Service will cease immediately. Sections that by their nature should survive (including sections 4, 5, 6, and 9) will survive termination.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

9. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced by posting the updated Terms with a new "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
